Alpha Sigma Phi Fraternity of New Jersey Institute of Technology, Inc. - Constitution

The Alpha Rho constitution has gone through four major revisions:

1981 - 1988: Prior to the formation of the Corporation, the undergraduate chapter operated under its own Constitution.

December 2, 1988: The original Constitution of the Corporation was written by the original members of the Board of Directors: Gary Bauers, Mauro Dal Pan, Bruce DiBisceglie, Donald Green, Sami Ismaili, Carl Koberle, Martin Lyons, John McGee, and Joseph Plescia. The undergraduate chapter Constitution is incorporated within the Corporate document.

May 30, 1998: The revised version of the Constitution fixed procedural issues remaining from the formation of the Corporation, such as embedding the names of the original Board of Directors within the document.

June 7, 2003: Changed the requirements for quorum and conditions for election to the Board being made simpler for recent graduates.

Amendments to the Constitution

The following summary of Consitutional amendments was supplied by Bruce DiBisceglie in 1998:

• Standing Rules and Amendments to the Undergraduate Constitution (Article VI, Section 11) can be proposed by any member in good standing (aka: sponsor) in writing.
• UG Amendments and Standing Rules must be present at a Chapter meeting in writing and read.
• This proposal must be tabled and discussed for seven days.
• The Chapter must vote no sooner than seven days of the original proposal at the Chapter meeting.
• An Amendment requires a 3/4 approval from all active members on the books (not just those in attendance).
• A Standing Rule requires a 2/3 approval from all active members on the books (not just those in attendance).
• A proposal must be presented to the Executive Board within 30 days or the proposal expires and must go back to the Chapter.
• The Executive Board must notify the Corporate President to place the proposal on the next BOD agenda.
• The sponsor must present proposal at that BOD meeting.
• The BOD forwards the proposal to the Law Department. No vote is taken by the BOD at this time.
• Law Department has 60 days to check for compliance with current Constitution and all Federal, State and Local laws.
• If proposal is in compliance, the Law Dept. notifies the Corp. President within the 60 day period and present to BOD.
• The President shall place the compliant proposal on the next Meeting Of The Members agenda at least 30 days prior to that meeting.
• Once the BOD has been notified by the Law Dept. that the proposal is compliant, the BOD may approve the proposal to be enacted in the interim by 3/4 (amendment) or 2/3 (standing rule) vote of the BOD.
• The Corporate Secretary must send a copy of all proposals to the members 30 days prior to the next Meeting Of The Members.
• Proposal must be mailed to entire membership 30 days prior to Annual Meeting Of The Members.
• Secret Ballot Vote is taken at Meeting Of The Members. Amendments need 3/4 approval of quorum, standing rules need 2/3 approval of quorum.
